Founding Beta Tester Agreement

1. Eligibility and acceptance

You qualify as a Founding Beta Tester if Filafolio sends you a written invitation expressly offering complimentary lifetime access and you activate that invitation using its single-use code, or if Filafolio presents this Agreement to your existing founding beta account and confirms that benefit. By checking the acceptance box and activating or continuing your account, you agree to this Agreement electronically. The invitation and benefit are personal, non-transferable, and limited to one account.

2. Complimentary lifetime access

Subject to this Agreement and the Terms of Use, Filafolio grants you complimentary access, without a purchase or recurring fee, to the core individual filament-inventory service generally included in Filafolio Pro. This benefit continues for the operating life of that service.

“Operating life” means the period during which Filafolio, LLC or its successor continues to offer the Filafolio core filament-inventory service to individual users. Lifetime access refers to the operating life of the service, not the lifetime of the Tester, Filafolio’s members, or any other person. It does not require Filafolio to operate the Service forever or prevent Filafolio from changing, replacing, or discontinuing features or the Service.

3. What the benefit does not include

Unless Filafolio expressly agrees otherwise in writing, the Founding Tester benefit does not include optional paid add-ons, third-party products or services, hardware, merchandise, enterprise or business plans, transaction charges, affiliate purchases, or materially separate products introduced in the future. The benefit has no cash value and cannot be sold, assigned, exchanged, or redeemed for money.

4. Beta nature of the Service

You understand that beta features are being evaluated and may be incomplete, inaccurate, unavailable, or changed without notice. You should verify important inventory, product, price, and manufacturer information independently and maintain any backup you need. Beta access does not create an ownership interest in Filafolio or give you control over product decisions.

5. Testing and feedback

You are encouraged, but not required, to test the Service and provide candid feedback. You are not an employee, contractor, agent, spokesperson, or representative of Filafolio and have no obligation to endorse or promote it. If you voluntarily submit ideas, suggestions, reports, or other feedback, you grant Filafolio a perpetual, worldwide, irrevocable, royalty-free right to use, reproduce, modify, and incorporate that feedback without restriction or compensation and without publicly identifying you.

6. Tester responsibilities

You agree to:

• keep your account and invitation code secure;
• use the Service lawfully and in accordance with the Terms of Use;
• avoid attempting to bypass access controls or disrupt the Service;
• avoid presenting yourself as authorized to speak for Filafolio; and
• notify Filafolio if you suspect unauthorized account access.

7. Account suspension or termination

Filafolio may suspend or terminate your account and Founding Tester benefit for fraud, sale or transfer of the account or invitation, material violation of this Agreement or the Terms of Use, unlawful conduct, security threats, or intentional harm to the Service or others. When reasonably appropriate, Filafolio will give notice and an opportunity to correct a curable violation. The benefit also ends if the applicable Filafolio service is permanently discontinued.

8. Privacy and communications

Filafolio will handle your account, inventory, technical, feedback, and issue-report information as described in the Privacy Policy. You consent to receive service-related communications about your account, security, this Agreement, and material beta changes. These are not marketing messages.

9. Relationship to other terms

Filafolio’s Terms of Use and Privacy Policy are incorporated into this Agreement. If this Agreement directly conflicts with the Terms of Use concerning the expressly promised Founding Tester lifetime-access benefit, this Agreement controls only for that benefit. The Terms of Use control in all other respects.

10. Governing law and complete agreement

Florida law governs this Agreement without regard to conflict-of-law principles. The dispute provisions in the Terms of Use apply. This Agreement, the qualifying written invitation, the Terms of Use, and the Privacy Policy constitute the complete agreement concerning the Founding Tester benefit. Filafolio may update this Agreement prospectively, but an update will not eliminate an already accepted lifetime-access benefit except as permitted by this Agreement or required by law.
